Patrick Rose practices in the corporate section at Wick Phillips and focuses on mergers and acquisitions, healthcare, securities, corporate finance, and general business matters. Patrick regularly represents buyers and sellers in mergers and acquisitions transactions with values ranging from $1 million to over $85 million in the healthcare, oil & gas, manufacturing, private equity, real estate, hospitality, franchise, construction and development, and retail industries. Additionally, he represents lenders and borrowers in various asset based and real estate based finance transactions. Patrick also advises clients on various incentive compensation plans such as profits interests.

For day-to-day business matters, Patrick represents clients in entity formations and planning, corporate governance, partnership/LLC matters, employment matters, and commercial contracts.

Patrick also represents issuers and investors in private equity funds and private placements of equity securities with single-deal capital commitments exceeding $50 million, including drafting and advising on private placement memorandums and subscription documents.

On the healthcare front, Patrick represents clients in various healthcare related transactions, employment, and regulatory matters, including fraud/abuse (Stark/Anti-Kickback) compliance, for physicians and practice groups, medical device manufacturers and distributors, hospitals, physical therapy practices, pharmacies, chiropractors, dentists, intraoperative monitoring companies, labs, management services organizations, and revenue cycle management companies.

For real estate clients, Patrick advises in the corporate components of complex real estate acquisition, leasing, development, and financing transactions, including complex joint venture agreements. Patrick also guides clients through complex real estate acquisition, leasing, and finance transactions.

Prior to joining Wick Phillips, Patrick practiced at Kane Russell Coleman Logan PC in Dallas and Whitaker Chalk Swindle & Schwartz PLLC in Fort Worth.
